Welcome to NarrativeHQ. These Terms of Service ("Terms") govern your access to and use of the NarrativeHQ platform, website, and related services (collectively, the "Service"), operated by NarrativeHQ LLC ("NarrativeHQ," "we," "us," or "our").

By creating an account, accessing the Service, or clicking to accept these Terms, you agree to be bound by them. If you do not agree, do not use the Service.

1. The Service

NarrativeHQ is a shared messaging platform built for nonprofit communications and fundraising teams. The Service helps your organization capture its brand voice, store messaging guidance in a single source of truth, and apply that foundation across AI-powered assistants used by your team.

We may add, change, or remove features at any time. We will give reasonable notice for material changes that affect how you use the Service.

2. Eligibility and Accounts

You must be at least 18 years old and authorized to enter into contracts on behalf of your organization to use the Service.

When you create an account, you agree to provide accurate information and keep it current. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly if you suspect unauthorized access.

If you are using the Service on behalf of a nonprofit or other organization, you represent that you have authority to bind that organization to these Terms.

3. Subscriptions, Billing, and Cancellation

NarrativeHQ offers the following plans:

  • Solo: $49/month or $39/month billed annually. One user.
  • Team: $169/month or $149/month billed annually. Up to 8 users.
  • Enterprise: Custom pricing. Contact us for details.

Billing. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. All fees are in U.S. dollars and are non-refundable except where required by law.

Renewal. Subscriptions renew automatically at the end of each billing period. You may cancel at any time from your account settings. Cancellation takes effect at the end of your current billing period.

Changes to Pricing. We may change subscription pricing with at least 30 days' notice before the change takes effect. Continued use after a price change constitutes acceptance of the new pricing.

Free Trials and Beta Access. If we offer a free trial or beta access, we may modify or end it at any time. Beta features may not work as expected and are provided as-is.

4. Your Content and Data

Ownership. You own the content you upload to NarrativeHQ, including your brand foundation, messaging guidance, draft content, source materials, and outputs created using the Service ("Customer Content"). We do not claim ownership of your Customer Content.

License to Operate the Service. You grant us a limited, non-exclusive license to host, store, process, and display your Customer Content solely to operate, maintain, and improve the Service for you. This license ends when you delete your content or close your account, except where retention is required by law.

Confidentiality of Customer Content. We treat your brand foundation, donor language, draft communications, and other Customer Content as confidential. We do not use your Customer Content to train third-party AI models. See our Privacy Policy for full details on how we handle your data.

Your Responsibilities. You are responsible for the accuracy, legality, and appropriateness of the content you upload. Do not upload content that infringes on third-party rights, includes sensitive personal data unrelated to your messaging work, or violates applicable law.

5. AI-Generated Output

NarrativeHQ uses AI to help your team draft messaging aligned with your brand foundation. You should know:

  • AI output requires human review. Drafts produced by NarrativeHQ assistants are starting points, not finished work. Always review, edit, and approve content before publishing or sending it to donors, supporters, or the public.
  • AI can make mistakes. Output may contain inaccuracies, omissions, or language that does not fit your context. NarrativeHQ does not guarantee that AI-generated content will be accurate, complete, or suitable for any particular purpose.
  • You are responsible for what you publish. Your organization remains accountable for any content you choose to use, regardless of how it was drafted.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any law, regulation, or third-party right.
  • Upload content that is defamatory, harassing, fraudulent, or designed to deceive donors, supporters, or the public.
  • Distribute malware, attempt to gain unauthorized access to the Service, or interfere with its operation.
  • Reverse engineer, copy, or resell the Service or its underlying technology.
  • Use the Service to build a competing product.
  • Share account credentials with anyone outside your organization or exceed the user limits of your plan.

We may suspend or terminate accounts that violate these rules.

7. Our Intellectual Property

NarrativeHQ, including its software, design, content, branding, and assistant configurations, is owned by us or our licensors and is protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription, subject to these Terms.

You may not remove proprietary notices, copy our trademarks, or use our brand without prior written permission.

8. Third-Party Services

NarrativeHQ relies on third-party AI providers and infrastructure to deliver the Service. By using NarrativeHQ, you acknowledge that your use of certain features may be subject to those providers' terms and policies. We are not responsible for the availability, accuracy, or performance of third-party services.

9. Privacy

Our Privacy Policy explains how we collect, use, and protect your personal information and your organization's data. By using the Service, you agree to the practices described in our Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from harmful components, or that AI-generated output will meet your expectations.

11. Limitation of Liability

To the fullest extent permitted by law, NarrativeHQ and its officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost revenue, lost donations, lost data, or reputational harm, arising out of or related to your use of the Service.

Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim.

Some jurisdictions do not allow these limitations, so they may not apply to you.

12. Indemnification

You agree to defend and indemnify NarrativeHQ against any claims, damages, or costs arising from your use of the Service, your Customer Content, or your violation of these Terms or applicable law.

13. Termination

You may cancel your account at any time. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or use the Service in a way that risks harm to us, our other customers, or third parties.

When your account ends, your right to use the Service ends immediately. We will make your Customer Content available for export for 30 days after termination, after which we may delete it. Sections of these Terms that by their nature should survive termination will continue to apply.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of [STATE], without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Service will be resolved in the state or federal courts located in Oregon City, OR, and you consent to the personal jurisdiction of those courts.

16. General

These Terms, together with our Privacy Policy, are the entire agreement between you and NarrativeHQ regarding the Service. If any provision is found unenforceable, the rest will remain in effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our written consent.
